1. Agreement to Terms

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you are accessing the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

Arbitration Notice: UNLESS YOU OPT OUT OF ARBITRATION WITHIN 30 DAYS OF THE DATE YOU FIRST AGREE TO THESE TERMS BY FOLLOWING THE OPT-OUT PROCEDURE SPECIFIED IN THE "DISPUTE RESOLUTION" SECTION BELOW, AND EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE "ARBITRATION" SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND SPECTEON ADS WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.

2. Description of Service & Third-Party Dependencies

Specteon Ads is an artificial intelligence platform that allows users to generate, edit, and export video content ("Generated Content") based on text, image, or video inputs provided by you ("User Input").

2.1 AI Nature & Disclaimers

• Probabilistic Nature: You acknowledge that the Service uses generative artificial intelligence models. These models are probabilistic and may produce content that is inaccurate, offensive, hallucinatory, or that resembles content generated for other users. Specteon Ads does not guarantee the uniqueness, accuracy, or quality of any Generated Content.
• No Professional Advice: Generated Content is for informational or entertainment purposes only and should not be relied upon as professional legal, medical, or financial advice.

2.2 Third-Party Providers

Our Service relies on third-party AI providers (such as OpenAI, Anthropic, ElevenLabs, etc.) to generate content. We cannot guarantee the continuous availability of these third-party models. You agree that Specteon Ads is not liable for service interruptions, latency, or content refusals caused by these third-party providers. If a third-party provider deprecates a model or changes its policies, we reserve the right to modify our Service accordingly without liability.

3. Accounts and Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

4. Intellectual Property Rights

4.1 User Input

You retain all rights to any text, images, or videos you upload or input into the Service ("User Input"). By using the Service, you grant Specteon Ads and its affiliates a worldwide, non-exclusive, royalty-free license to access, reproduce, process, adapt, and use your User Input solely for the purpose of providing, maintaining, and improving the Service (including the training of our AI models, unless you have opted out via enterprise agreements).

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize Specteon Ads to use all User Input in the manner contemplated by the Service and these Terms.

4.2 Generated Content

Subject to your compliance with these Terms and payment of applicable fees, Specteon Ads hereby assigns to you all of its right, title, and interest in and to the specific video content generated by the Service for you. This means you own the Generated Content and may use it for commercial purposes, subject to the limitations herein.

Similarity of Content (Non-Exclusivity)

Due to the nature of machine learning, Generated Content may not be unique across users and the Service may generate the same or similar output for Specteon Ads or a third party. For example, if you and another user both input "Sunset over a beach," the Service may produce similar images. You will not own those similar components to the extent they are generated for other users, and you have no right to enforce copyright against other users for such similar content.

4.3 Platform Rights

Specteon Ads and its licensors own all right, title, and interest in and to the Service, including all software, text, media, and other content available on the Site (excluding User Input and Generated Content), and all related intellectual property rights.

4.4 Feedback

We appreciate feedback, comments, ideas, proposals, and suggestions for improvements to the Service ("Feedback"). If you choose to submit Feedback, you agree that we are free to use it without any restriction or compensation to you.

5. Billing, Credits, and Subscriptions

5.1 Subscriptions

The Service is billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Specteon Ads cancels it.

5.2 The Credit System

Our Service operates on a credit-based system ("Credits"). Credits are used to generate content (e.g., 5 credits per image, 5 credits per second of video).

• Allocation: Credits are allocated monthly based on your plan.
• Rollover Policy: Unused credits may roll over to the next month, up to a maximum of 50% of your plan's monthly allocation. Any credits in excess of this limit will expire at the end of the Billing Cycle.
• No Cash Value: Credits have no currency or exchange value, are non-transferable and non-refundable, and cannot be redeemed for cash.

5.3 Cancellations and Refunds

You may cancel your Subscription renewal at any time through your account management page. Cancellation will take effect at the end of the current Billing Cycle. Except when required by law, paid Subscription fees are non-refundable. Upon cancellation, any unused Credits will expire immediately at the end of the service period.

6. Acceptable Use Policy & Restrictions

You agree not to use the Service to create, upload, or disseminate content that:

• Is illegal, pornographic, defamatory, or libelous.
• Promotes hate speech, violence, or discrimination against individuals or groups.
• Infringes on any third party's intellectual property, privacy, or publicity rights (including "deepfakes" of real persons without their consent).
• Is intended to deceive or mislead (e.g., political disinformation).
• Contains malware or malicious code.

6.1 Competitive Research & Reverse Engineering

You may not use the Service to develop, train, or test any machine learning models or artificial intelligence systems that compete with Specteon Ads. You may not reverse engineer, decompile, or attempt to derive the source code or underlying algorithms of the Service.

We reserve the right to investigate and prosecute violations of any of the above to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Indemnification

You agree to defend, indemnify, and hold harmless Specteon Ads, Syllaby, and their licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of the Service, by you or any person using your account and password; (b) a breach of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Input caused damage to a third party.

9. Limitation of Liability

IN NO EVENT SHALL SPECTEON ADS, SYLLABY, OR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Copyright Policy (DMCA)

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes the copyright or other intellectual property infringement of any person.

If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, you must submit your notice in writing to the attention of "Copyright Manager" at support@ads.specteon.com and include in your notice a detailed description of the alleged infringement.

11. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
